1. Acceptance
By accessing or using the website and services of Pickaxe Crypto Mining Inc. ("Pickaxe," "we," or "us"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our website or services.
2. Eligibility
You must be at least 18 years old, have legal capacity to enter into contracts, and reside in a jurisdiction where cryptocurrency mining is legal.
3. Our Role and Services
Pickaxe coordinates equipment sourcing, supplier introductions, logistics, deployment, hosting, colocation, and related educational tools. Unless a separate signed agreement expressly states otherwise, Pickaxe is not the seller, merchant of record, manufacturer, or warrantor of mining equipment. Any equipment transaction is between you and the manufacturer or independent supplier identified in the applicable quote, invoice, purchase agreement, or other transaction document.
Equipment displayed on this website represents supplier-network availability and indicative sourcing information. A listing is not an offer by Pickaxe to sell equipment and does not guarantee price, availability, condition, allocation, or delivery.
4. Sourcing Requests and Supplier Terms
- Website prices, delivery windows, specifications, and availability are indicative and subject to supplier confirmation.
- A sourcing request does not reserve equipment or create a binding transaction.
- The applicable supplier controls acceptance, equipment pricing, payment requirements, title transfer, condition, fulfillment, cancellation, return, and refund terms.
- Supplier payments may be non-refundable once an allocation is confirmed, manufacturing begins, or equipment enters logistics, as stated in the applicable supplier documents.
- Pickaxe sourcing, coordination, logistics, or deployment fees are separate service charges and are governed by the applicable Pickaxe agreement.
- Hosting and electricity charges are billed separately under the applicable hosting agreement.
5. Equipment, Delivery, and Warranties
Equipment specifications, condition descriptions, estimated delivery dates, and manufacturer warranty information are supplied by manufacturers or independent suppliers. Delivery may be affected by manufacturing, supplier allocation, carriers, customs, site readiness, utilities, or other third parties. Pickaxe may help coordinate logistics or a manufacturer warranty claim, but does not independently warrant equipment and cannot guarantee delivery dates, uptime, hashrate, efficiency, or useful life.
6. Hosting and Deployment
Hosting, colocation, installation, repair coordination, and deployment services are governed by the applicable service agreement. Site availability, energization dates, electricity rates, uptime, curtailment, maintenance, and removal procedures may vary by facility. No displayed deployment date is guaranteed unless expressly stated in a signed agreement.
7. No Financial Advice
Pickaxe does not provide financial, investment, tax, or legal advice. Production estimates, revenue projections, market data, and calculators are informational only and do not guarantee future performance. Mining results depend on cryptocurrency prices, network difficulty, pool performance, equipment performance, electricity costs, downtime, and other factors outside our control. Consult qualified professionals before making financial decisions.
8. Intellectual Property
Website text, graphics, logos, software, and design are owned by Pickaxe or its licensors. You may not copy, reproduce, distribute, or create derivative works without written consent.
9. Prohibited Conduct
You may not use our website or services to violate law, infringe third-party rights, interfere with site functionality, access systems without authorization, submit false information, or engage in fraudulent activity. Violations may result in termination of access.
10. Disclaimers
THE WEBSITE AND PICKAXE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICKAXE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OPERATION, AND RESULTS. THIRD-PARTY EQUIPMENT AND SERVICES ARE GOVERNED BY THE APPLICABLE SUPPLIER OR MANUFACTURER TERMS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICKAXE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST MINING REWARDS, CRYPTOCURRENCY PRICE CHANGES, SUPPLIER DEFAULT, SHIPPING DELAY, EQUIPMENT DEFECT, OR DOWNTIME. PICKAXE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID DIRECTLY TO PICKAXE FOR THE AFFECTED SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
12. Cancellations and Refunds
Supplier equipment payments are governed by the applicable supplier's cancellation and refund terms. Pickaxe service fees, hosting charges, and deposits are governed by the applicable service agreement and our Cancellation & Refund Policy.
13. Dispute Resolution
Before filing a claim against Pickaxe, contact info@pickaxe.io to attempt informal resolution. If unresolved, disputes with Pickaxe shall be settled by binding arbitration under American Arbitration Association rules in Placer County, California. Claims must be brought individually, not as part of a class or collective action. Disputes with an equipment supplier are governed by that supplier's transaction documents.
14. Governing Law
These Terms are governed by Delaware law, without regard to conflict-of-law principles. Where court proceedings are permitted, venue for claims against Pickaxe shall be in Placer County, California.
15. Changes
We may update these Terms. Material changes will be posted on the website. Continued use after an update constitutes acceptance of the revised Terms.
