1. Program Overview
The Pickaxe Affiliate Program allows approved participants ("Affiliates") to earn commissions by referring new customers to Pickaxe. By joining the program, you agree to these terms and conditions.
Pickaxe reserves the right to modify these terms at any time. We will notify active affiliates of material changes via email. Continued participation after changes constitutes acceptance.
2. Commission Structure
Commission Rates:
- 10% commission on hardware sales up to $100,000
- 5% commission on hardware sales over $100,000
What's Included:
- Commission is calculated on hardware purchase price only
- Deployment fees, shipping costs, hosting fees, and accessories are excluded
- Commission applies only to each referred customer's first order
Attribution:
- 30-day cookie window from initial referral click
- First-click attribution model
- Manual attribution available for referrals who mention your name/code
3. Payouts
- Minimum payout threshold: $100
- Payouts processed monthly (typically within 15 days of month end)
- Payment methods: Wire transfer, ACH, or cryptocurrency
- Commissions become payable after the order is delivered
- Earnings below the minimum threshold roll over to the next month
4. Tax Information (US Affiliates)
For US-based affiliates, if your total earnings exceed $600 in a calendar year, we are required to issue a 1099-NEC form and report your earnings to the IRS.
After your first qualifying sale, we will request the following tax information:
- Legal name or business name
- Address
- Tax Identification Number (SSN or EIN)
- Completed W-9 form
Failure to provide tax information when requested may result in payout delays or withholding as required by law. International affiliates may be subject to different requirements based on their jurisdiction.
5. FTC Disclosure Requirements (Required)
The Federal Trade Commission (FTC) requires that you clearly and conspicuously disclose your affiliate relationship whenever you promote Pickaxe and could earn a commission.
When to Disclose:
- Social media posts with your referral link
- Blog posts or articles mentioning Pickaxe
- YouTube videos or podcast episodes
- Email newsletters
- Any content where you recommend Pickaxe
Example Disclosures:
"Affiliate link - I may earn a commission if you purchase."
"I'm a Pickaxe affiliate and earn commission on sales through my link."
"Ad" or "Sponsored" (for social media posts)
"This post contains affiliate links."
Disclosures must be clear, prominent, and near your recommendation - not buried at the bottom of a page or in small print.
6. Prohibited Activities
The following activities will result in immediate termination and forfeiture of unpaid commissions:
Self-Referrals
Referring yourself, your own company, or family members living in the same household
False or Misleading Claims
Making exaggerated income claims, false promises about mining returns, or misrepresenting Pickaxe products/services
Spam
Unsolicited emails, messages, or comments. This includes bulk messaging, purchased email lists, and comment spam
Trademark Violations
Bidding on Pickaxe brand terms in paid advertising, creating domains with 'Pickaxe' in the name, or impersonating Pickaxe
Incentivized Clicks
Paying or offering rewards for people to click your link without genuine purchase intent
Cookie Stuffing
Forcing cookies through pop-ups, iframes, or any deceptive means
Coupon/Deal Sites
Posting on coupon aggregator sites without explicit written approval
Misleading Content
Creating fake reviews, fabricated testimonials, or content that deceives users about the nature of your relationship with Pickaxe
7. Allowed Promotional Methods
Personal Social Media
Sharing on your personal or business social media accounts with proper disclosure
Content Creation
Blog posts, YouTube videos, podcasts, and other original content with honest reviews
Email to Your Own List
Sending to subscribers who opted in to receive content from you
Community Participation
Genuine participation in forums, Discord servers, and communities where you add value
Word of Mouth
Direct recommendations to friends, family, colleagues, and your network
Paid Advertising
PPC and social ads are allowed, but you may NOT bid on Pickaxe brand terms or create misleading ads
8. Termination
Either party may terminate the affiliate relationship at any time for any reason. Upon termination:
- You must immediately stop using Pickaxe promotional materials and remove affiliate links
- Pending commissions that meet the minimum threshold will be paid within 30 days
- Commissions from orders placed after termination will not be paid
- Termination for violation of these terms may result in forfeiture of unpaid commissions
9. Limitation of Liability
Pickaxe is not responsible for any losses, damages, or costs incurred by affiliates in connection with the program. Commission rates, program terms, and availability are subject to change. This program is not a guarantee of income - earnings depend entirely on your referrals and their purchasing decisions.
10. Indemnification
You agree to indemnify, defend, and hold harmless Pickaxe, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your promotional activities and marketing materials
- Any breach of these terms
- Any false, misleading, or deceptive claims you make about Pickaxe or its products
- Any violation of applicable laws or regulations, including FTC guidelines
- Any infringement of third-party rights
11. Intellectual Property & Brand Usage
Pickaxe grants you a limited, non-exclusive, revocable license to use Pickaxe trademarks, logos, and marketing materials solely for the purpose of promoting Pickaxe products as an affiliate.
You May:
- Use official Pickaxe logos and images provided in affiliate resources
- Reference the Pickaxe brand name in honest, accurate promotional content
- Link to Pickaxe website using your affiliate link
You May NOT:
- Modify Pickaxe logos or create derivative works
- Use Pickaxe branding in a way that implies official endorsement or partnership beyond the affiliate relationship
- Register domain names containing "Pickaxe" or similar variations
- Use Pickaxe trademarks in paid search advertising (e.g., Google Ads brand bidding)
- Create social media accounts that impersonate or could be confused with official Pickaxe accounts
This license terminates immediately upon termination of your affiliate status. All intellectual property rights in Pickaxe materials remain the sole property of Pickaxe.
12. Data Privacy & Compliance
As an affiliate, you are responsible for complying with all applicable data protection and privacy laws in your jurisdiction, including but not limited to:
- GDPR (General Data Protection Regulation) for EU residents
- CCPA (California Consumer Privacy Act) for California residents
- CAN-SPAM Act for email marketing
- Any other applicable local, state, or national privacy regulations
You must maintain appropriate privacy policies if you collect any personal data in connection with your affiliate activities. You may not sell, share, or misuse any customer data obtained through the affiliate program.
13. Independent Contractor Status
Affiliates are independent contractors and not employees, agents, joint venturers, or partners of Pickaxe. This agreement does not create an employment relationship. As an independent contractor:
- You are solely responsible for your own taxes, including self-employment taxes
- You are not entitled to employee benefits, insurance, or protections
- You have no authority to bind Pickaxe to any agreements or obligations
- You are responsible for your own business expenses and equipment
14. Non-Exclusivity
This affiliate relationship is non-exclusive. You are free to participate in other affiliate programs, including those of competitors, provided that such participation does not violate any other provision of these terms (such as making false comparative claims or disparaging Pickaxe).
Similarly, Pickaxe may engage other affiliates and marketing partners at its sole discretion.
15. Anti-Bribery & Compliance
You agree to comply with all applicable anti-bribery and anti-corruption laws, including the U.S. Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. You will not offer, pay, promise, or authorize payment of money or anything of value to any government official, political party, or candidate to influence any act or decision to obtain or retain business.
16. Eligibility Requirements
To participate in the Pickaxe Affiliate Program, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be located in a jurisdiction where participation would be prohibited
- Provide accurate and complete registration information
- Maintain compliance with these terms throughout your participation
17. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Placer County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
